Dear Client,

Corporate and partnership tax returns are due on March 15, 2023.

If you have not yet provided our office with ALL required year-end information and made arrangements for completion of your corporate tax returns, please submit your information immediately. 

If you would like us to file extensions for you, please contact our office as soon as possible.


Filing an extension will allow an additional six months of time to file your returns making the due date September 15, 2023.  However, we ask that you please arrange to submit the year-end information at your earliest convenience if you have not already done so.  Please note that this extension is not an extension of time to pay the corporate excise tax it is merely an extension of time to file your tax returns. IRS regulations enacted by Congress impose fines and penalties if a tax return is late, including S-Corps and Partnerships. The fine is accrued monthly, per Shareholder and can run for 12 months.  Please get your information in as soon as possible.

 Massachusetts Corporations & Limited Liability Companies:

If you have not paid your 2022 corporate excise tax of $456.00 (minimum), a payment will need to be made with your extension.  As we are required by the state to file extensions electronically, we will need you to provide us with your bank routing and account numbers for automatic debit of your account by the Massachusetts Department of Revenue.  Please call or fax this information to us right away, as it must be submitted with your extension prior to March 15, 2023.


S-Corporation and C-Corporation Massachusetts Annual Reports required to be filed with the Secretary of State’s Office also have a FINAL due date of March 15, 2023.  According to the Secretary of State’s Office, THE STATE PREFERS that you file your annual report online at allowing your corporate information to be immediately updated for less money than paper transactions. That means no more waiting for your annual report to be processed before you can obtain a Certificate of Good Standing. The cost for online filing of your annual report will be $109.00.

If you would prefer to have our office file your Massachusetts Annual Report, you must notify us right away and provide us with your customer ID and PIN number, which can be found on the Annual Report Notice card mailed to you by the Secretary of State’s office, along with your bank account or credit card information for payment.  We will be happy to do that for you.  For proper preparation, please make sure you notify us of any changes in officer and/or address information.  Please note that there will be an additional late fee charged for any late filings.

Limited Liability Companies (LLC):

Please be aware that every Massachusetts Limited Liability Company (LLC) must file an Annual Report with the Massachusetts Secretary of State’s Office Corporations Division on or before the anniversary date of the filing of its original certificate of organization.

This report contains all information included in the certificate of organization along with any other information/changes that you may determine need to be included. The cost for online filing for an annual report is $520.00 and can be filed online at

Because every LLC holds an Annual Report deadline specific to your date of origination, we cannot be responsible for automatic filing of any Annual Report with the Secretary of State’s Office.  We will, however, be happy to file them on your behalf if you notify us at least a week in advance of your LLC’s due date and provide us with your customer ID and PIN number, along with your bank account or credit card information for payment.
